1. Acceptance of these Terms

These Terms and Conditions ("Terms") govern your access to and use of the website located at https://smartpros.tech (the "Site") operated by Smart Pro Technologies LLC ("Smart Pro Technologies," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Site.

We may update these Terms at any time by posting a revised version on the Site. Changes take effect when posted. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.

2. Our services and separate agreements

The Site describes AI development and technology consulting services that we offer to businesses. Information on the Site is for general informational purposes and does not constitute an offer or a binding commitment to provide any service. All client engagements are governed by a separate written agreement (such as a master services agreement, statement of work, or proposal) signed by both parties. In the event of a conflict between these Terms and a signed agreement, the signed agreement controls with respect to the services it covers.

3. Eligibility and acceptable use

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Site or submit inquiries. You agree not to:

• Use the Site in any way that violates applicable law or regulation;
• Attempt to gain unauthorized access to the Site, its servers, or any connected systems;
• Interfere with or disrupt the Site, including by introducing malware or conducting denial-of-service attacks;
• Scrape, harvest, or collect information from the Site by automated means without our written permission;
• Submit false, misleading, defamatory, infringing, or unlawful content through our forms;
• Impersonate any person or entity or misrepresent your affiliation with any person or entity;
• Use the Site to send unsolicited commercial communications.

The Site and all of its content, including text, graphics, logos, icons, images, illustrations, page layouts, and software, are owned by Smart Pro Technologies LLC or its licensors and are protected by United States and international copyright, trademark, and other intellectual property laws. "Smart Pro Technologies," the Smart Pro Technologies logo, and related names and marks are trademarks of Smart Pro Technologies LLC.

You may view, download, and print pages from the Site for your personal or internal business use in evaluating our services, provided you keep all copyright and proprietary notices intact. You may not otherwise reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from the Site without our prior written consent.

5. Submissions and feedback

When you send us an inquiry, feedback, or other information through the Site (other than personal information, which is handled under our Privacy Policy), you grant us a non-exclusive, royalty-free, perpetual license to use that information to respond to you and to operate and improve our business. Please do not send us confidential or proprietary information through the Site's public forms. Confidential information should be exchanged only under a signed non-disclosure agreement.

WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY INFORMATION ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT. Content on the Site, including descriptions of artificial intelligence capabilities and outcomes, is general in nature and does not constitute professional, legal, financial, or technical advice. 8. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, SMART PRO TECHNOLOGIES LLC AND ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SITE EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you. Liability for services provided under a signed agreement is governed exclusively by that agreement.

9. Indemnification

You agree to defend, indemnify, and hold harmless Smart Pro Technologies LLC and its members, managers, officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your violation of these Terms, your misuse of the Site, or your violation of any law or the rights of a third party.

10. Copyright complaints

We respect the intellectual property rights of others. If you believe that content on the Site infringes your copyright, please send a notice to tasha@smartpros.tech that includes: (a) identification of the copyrighted work; (b) identification of the allegedly infringing material and its location on the Site; (c) your contact information; (d) a statement that you have a good-faith belief that the use is not authorized; (e) a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act on the owner's behalf; and (f) your physical or electronic signature.

11. Governing law and dispute resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site that cannot be resolved informally will be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the personal jurisdiction of those courts. Before filing any claim, you agree to first contact us and attempt in good faith to resolve the dispute informally for at least 30 days.

TO THE EXTENT PERMITTED BY LAW, YOU AND SMART PRO TECHNOLOGIES EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION WITH RESPECT TO ANY DISPUTE RELATING TO THE SITE.

12. Termination

We may suspend or terminate your access to the Site at any time, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Sections 4 through 11 and 13 survive any termination.

13. General provisions

• Entire agreement. These Terms, together with the Privacy Policy, Cookie Policy, and Disclaimer, constitute the entire agreement between you and us regarding the Site.
• Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
• No waiver. Our failure to enforce any right or provision is not a waiver of that right or provision.
• Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Force majeure. We are not liable for any delay or failure caused by events beyond our reasonable control.
• Electronic communications. You consent to receive communications from us electronically, and agree that electronic communications satisfy any legal requirement that communications be in writing.
